These Terms of Service ("Terms") govern your access to and use of Signal, a revenue intelligence dashboard developed and operated by Groppi Consulting ("we," "us," or "our"). By accessing Signal, you ("Client") agree to be bound by these Terms. If you do not agree, do not use Signal.
These Terms are in addition to any separate license agreement or Statement of Work between you and Groppi Consulting. In the event of a conflict, the separate agreement governs.
Subject to these Terms and payment of applicable fees, Groppi Consulting grants you a limited, non-exclusive, non-transferable license to access and use Signal solely for your internal business operations.
This license does not permit you to: — Sublicense, resell, or share access to Signal with any third party — Reverse engineer, decompile, or attempt to extract the source code of Signal — Use Signal to build a competing product or service — Scrape, export, or systematically extract data from Signal beyond your own business records
You are responsible for:
— Maintaining the confidentiality of your Signal login credentials — Ensuring that all data you authorize Signal to access (via ServiceTitan, Google Ads, or other integrations) is data you have the right to share — Providing accurate information when entering manual data (ad spend, roster, etc.) — Notifying Groppi Consulting promptly if you suspect unauthorized access to your account — Compliance with the terms of any third-party platforms (ServiceTitan, Google Ads) whose data you connect to Signal
Signal is licensed under terms agreed in a separate Statement of Work or invoice. Fees are due as specified in that agreement. Groppi Consulting reserves the right to suspend access to Signal for accounts with overdue balances after providing written notice.
All fees are non-refundable unless otherwise agreed in writing.
You retain full ownership of your business data — including job records, revenue figures, and employee information — that is pulled into Signal from your connected platforms. Groppi Consulting does not claim any ownership rights over your data.
You grant Groppi Consulting a limited license to access, process, and display your data solely for the purpose of operating Signal for your account. This license terminates when your Signal license ends.
Signal displays data sourced from third-party platforms (ServiceTitan, Google Ads) and manual entries. Groppi Consulting does not guarantee the accuracy, completeness, or timeliness of data sourced from these platforms.
KPI calculations, hiring signals, scenario projections, and other derived metrics are provided for informational purposes only. They do not constitute financial, legal, or business advice. You should not make material business decisions based solely on Signal's outputs without independent verification.
Groppi Consulting will use commercially reasonable efforts to make Signal available on a consistent basis. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party API outages (ServiceTitan, Google Ads, Supabase), or other factors may result in temporary unavailability.
We will notify you of planned maintenance periods where reasonably practicable.
Signal — including its design, code, algorithms, and documentation — is the intellectual property of Groppi Consulting. Nothing in these Terms transfers any ownership of Signal to you.
Feedback you provide about Signal may be used by Groppi Consulting to improve the product without obligation or compensation to you.
Each party agrees to keep confidential any non-public information of the other party disclosed in connection with this agreement, including but not limited to business data, pricing, and technical architecture. This obligation survives termination of the license for a period of two (2) years.
To the maximum extent permitted by applicable law, Groppi Consulting's total liability to you for any claims arising out of or relating to Signal shall not exceed the fees paid by you in the three (3) months preceding the claim.
In no event shall Groppi Consulting be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of data, even if advised of the possibility of such damages.
Either party may terminate this license with 30 days written notice. Groppi Consulting may terminate immediately upon material breach of these Terms, including non-payment or unauthorized use.
Upon termination, your access to Signal will be revoked and your data will be deleted within 30 days upon written request, subject to any legal retention requirements.
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, and both parties consent to exclusive jurisdiction in that venue.
Groppi Consulting may update these Terms from time to time. We will provide at least 14 days notice of material changes via email or in-app notification. Continued use of Signal after the effective date of changes constitutes acceptance of the updated Terms.
